    CONDITIONS PRECEDENT TO DISBURSEMENT OF THE TL FACILITY
    发放定期贷款的先决条件
    1Subject to Clause 5 and the Bank's discretion to permit otherwise, the TL Facility will only become available to the Borrower after the Bank has received and found reasonably satisfactory:-
    按照第5款的规定和贷款行的其它决定，定期贷款只能在贷款行已经接到并感到较合理、满意的下列文件时才能到位：
    1.1in relation to the Borrower:-
    有关借款人：
    (a)a certified true copy of the joint venture contract between the Shareholders for its establishment;
    股东之间签定的有关成立合资企业的合资合同的经过公证的真实复印件；
    (b)certified true copies of its current Articles of Association;
    现行章程的经过公证的真实复印件；
    (c)a certified true copy of its current Business Licence issued by SAIC;
    SAIC签发给它的现行营业执照的经过公证的真实复印件；
    (d)a certified true copy of the Foreign Exchange Registration Certificate issued by SAFE;
    ASFE签发给它的外汇登记证书的经过公证的真实复印件；
    (e)a certified true copy of the Tax Registration Certificate for Enterprises with Foreign Investment issued by the relevant authorities in the PRC to the Borrower;
    中国有关部门签发给借款人的外商投资企业税务登记证书的经过公证的真实复印件；
    (f)a certified true copy of the Certificate of Approval in respect of the establishment of the Borrower issued by the relevant authorities in the PRC;
    中国有关部门签发的有关借款人设立的批准证书经过公证的真实复印件；
    (g)a certified true copy of the Capital Verification Report issued by XXXX Accountants or any other accounting firm reasonably acceptable to the Bank evidencing that the paid-up registered capital of the Borrower is not less than United States Dollars Sixty Million (US$60,000,000.00) or its equivalent in RMB on the date of the TL Drawing;
    XXXX会计师事务所或贷款行能合理认可的其它会计师事务所签发的验资报告的经过公证的真实复印件，证明借款人的实收注册资本在定期贷款提款日不少于6000万美元或同等数额的人民币；
